Terms of Service

Plain-language summary: Nexus is a one-time-purchase, self-hosted software product. You buy a license key, you run Nexus on your own server, and your data stays with you. We provide email support during business hours. We don't refund licenses after the 14-day evaluation window. Use Nexus for lawful purposes only. Keep your license key confidential.

Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you ("the Customer", "you") and Jabali Nexus, a product of Chuchi Enterprise Ltd, registered in Kenya ("we", "us", "our"). By purchasing a Nexus license or using Nexus software, you agree to these Terms. If you do not agree, do not purchase or install Nexus.

The licence

When you purchase Nexus, you receive a perpetual, non-exclusive, non-transferable licence to install and use one copy of Nexus on one server you own or control. A licence covers one production deployment plus a reasonable number of staging or backup deployments (typically one staging copy).

You may not:

Editions, addons, and upgrades

Nexus is sold in three editions: Basic, Pro, and Enterprise. Each edition unlocks a defined set of modules. Edition pricing is published on jabalinexus.com and may change for future buyers without notice. Existing licences remain valid at their original edition.

You may upgrade your edition at any time by paying the difference to the next tier. Downgrades after purchase are not available.

14-day evaluation

For your first 14 days after activation, you may request a full refund of the licence fee for any reason by emailing support@jabalinexus.com. After 14 days, all sales are final.

Updates and patches

We may issue bug-fix patches and minor feature updates from time to time. We make reasonable efforts to keep the platform stable but make no warranty of uptime, completeness, or fitness for any particular purpose beyond what is required by Kenyan law.

Major version upgrades (for example v1.x to v2.x) may be offered at a discounted upgrade price to existing customers but are not guaranteed to be free.

Support

We provide email support via support@jabalinexus.com during East Africa business hours (Mon–Fri, 09:00–17:00 EAT). We aim to respond within 1–3 business days. Support covers installation, licence activation, and known software issues. It does not cover bespoke development, server administration, data recovery, or modifications to your own deployment.

Your data

Nexus is self-hosted. We do not have access to your operational data unless you explicitly send it to us as part of a support request. You are solely responsible for backups, security, hosting, and lawful use of data within your deployment.

Our licence server records minimal metadata (your licence key, server domain, activation timestamps, periodic heartbeats) for the sole purpose of licence enforcement and abuse prevention. See our Privacy Policy for full details.

Acceptable use

You agree to use Nexus only for lawful business purposes. You may not use Nexus to facilitate illegal construction, fraud, money laundering, regulatory evasion, or any activity prohibited under Kenyan law or the law of your jurisdiction.

Warranty disclaimer and limitation of liability

Nexus is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

Our maximum aggregate liability to you for any claim arising out of or relating to Nexus or these Terms is limited to the amount you paid us for the licence in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

Governing law

These Terms are governed by the laws of Kenya. Disputes will be resolved in the courts of Nairobi, Kenya, unless we both agree to alternative dispute resolution.

Changes to these terms

We may update these Terms from time to time. The current version will always be posted at jabalinexus.com/terms.html. Changes apply prospectively only.
